International companies can generally hire in Mexico without establishing their own entity by using an appropriate local employment solution such as an Employer of Record. The provider becomes the legal employer, handles the Mexican employment contract, payroll, IMSS and benefits, and you continue to direct the work day to day.
Independent-contractor structures may work for genuinely independent services, but they should not be used to disguise employment. If you set the schedule, supply the tools and supervise the output, the relationship is employment in substance regardless of what the agreement is called.
Where most providers stop is employment administration. The harder half is usually finding the person, making an offer that wins against local competition, getting equipment to their home, and knowing what happens to that employee when you eventually open your own entity. That is one relationship here, not four.

Yes, and it should be planned from the start. The transition covers continuity of seniority and benefits, contract novation, payroll cutover and record handover. Designing it at the beginning avoids renegotiating with employees under time pressure.
REPSE registration applies to specialized services provided to a client. It is a registration rather than a certification, and it does not apply to every engagement type. Which structure applies depends on the work performed and who directs it.
